Can I use Zoho as a secure data room for sharing documents?

For light needs, yes. Zoho WorkDrive lets you share folders with outside parties using permissions, password-protected links, expiry dates and download restrictions, with activity logs. It is not a full virtual data room with features like built-in Q&A, redaction workflows or bidder-by-bidder analytics, so for formal M&A or fundraising due diligence a specialist data room may fit better.

Zoho WorkDrive is Zoho's team file storage. You can create a team folder for a deal or project, add external users with view-only access, or share links protected by a password and an expiry date. You can turn off downloads for sensitive files, and admins can see audit logs of who viewed or changed what. Combined with Zoho Sign for agreements, it covers many small deal rooms.

Specialist data rooms go further. They offer per-page view tracking, dynamic watermarks, question-and-answer threads with bidders, staged access by group, redaction tools and reports designed for lawyers and advisers. If your advisers expect these, a dedicated product saves time and reduces risk.

If you go with WorkDrive, set it up carefully. Use a separate team folder per deal, view-only access by default, links with expiry and passwords, and no download where possible. Name files with an index so reviewers can follow. Check which security options your WorkDrive plan includes, and review access when the deal closes.
